1. Acceptance of Terms

By accessing the website www.abacre.com (the "Site") or purchasing, downloading,
or using any software or services provided by Abacre Limited ("Abacre", "we",
"us", or "our"), you agree to be bound by these Terms of Service (the "Terms").
If you do not agree to these Terms, please do not use the Site or our products.

2. Description of Services

Abacre develops and distributes software products for business management,
including but not limited to point-of-sale systems, hotel management software,
inventory management, and utility applications. We also offer related services
such as technical support and documentation.
The Site provides information about our products, enables product evaluation
(download of trial versions), facilitates software purchases, and offers
customer support resources.
3. Software License
--------------------
All software products distributed by Abacre are licensed, not sold. Your use of
any Abacre software is governed by the End User License Agreement (EULA) that
accompanies each product. By installing, copying, or using the software, you
agree to the terms of that EULA.
General license terms applicable to all Abacre software:
a) Evaluation Period: You are granted a limited-time evaluation license to
test the software for a specified trial period. After the evaluation period,
you must either purchase a registered license or cease using the software.
b) Registered Version: One registered copy of the software may be used in
accordance with the license type purchased (single-user, multi-user,
site license, or as otherwise specified at the time of purchase).
c) Distribution: You may distribute unmodified evaluation copies of the
software free of charge, provided that no fee is charged for such copies.
Distribution of registered or modified versions requires prior written
permission from Abacre.
d) Restrictions: You may not reverse engineer, decompile, disassemble, modify,
rent, lease, loan, or create derivative works based on the software, except
as expressly permitted by applicable law.
4. User Responsibilities

You agree to:
- Provide accurate and complete information when making purchases or
submitting inquiries
- Use the Site and software only for lawful purposes
- Not attempt to disrupt or damage the Site, its servers, or network
- Not use any automated means (bots, scrapers) to access the Site without
our express permission
- Maintain the confidentiality of your registration keys
5. Purchases and Payments
--------------------------
Software purchases are processed through our authorized payment processor,
PayPro Global. Prices for our products are listed on the Site and are subject
to change without notice. All payments are processed securely by PayPro Global;
we do not store full payment card information.
Upon successful payment, you will receive a registration key via email. This key
is your proof of license and must be kept confidential.
Refund and replacement policies are governed by the applicable EULA for each
product. Generally, liability is limited exclusively to product replacement or
refund of the purchase price.
6. Intellectual Property Rights

All software, content, design, graphics, logos, trademarks, and other materials
on the Site and within our products are the intellectual property of Abacre
Limited or its licensors. They are protected by copyright laws of the Russian
Federation, international treaty provisions, and applicable laws in the country
in which the software is used.
You agree not to remove, alter, or obscure any copyright, trademark, or other
proprietary notices appearing on or in the software or documentation.
7. Disclaimer of Warranty

OUR SOFTWARE AND THE ACCOMPANYING FILES ARE PROVIDED "AS IS" AND WITHOUT
WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER
EXPRESSED OR IMPLIED. BECAUSE OF THE VARIOUS HARDWARE AND SOFTWARE ENVIRONMENTS
INTO WHICH OUR PRODUCTS MAY BE PUT, NO WARRANTY OF FITNESS FOR A PARTICULAR
PURPOSE IS OFFERED.
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO
WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE
FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABACRE
LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SOFTWARE.
THE USER MUST ASSUME THE ENTIRE RISK OF USING THE PROGRAM. ANY LIABILITY OF
ABACRE WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF THE
PURCHASE PRICE.
9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of
the Russian Federation and corresponding international laws. Any disputes
arising under these Terms shall be resolved in the courts of St. Petersburg,
Russian Federation.
10. Termination
----------------
We reserve the right to terminate or suspend your access to the Site or
software licenses without prior notice if you violate these Terms. Upon
termination, your right to use the software and Site will cease immediately.
If you wish to terminate your account (if applicable), you may contact us at

11. Changes to Terms
---------------------
We reserve the right to modify these Terms at any time. Changes will be posted
on this page with an updated effective date. Your continued use of the Site or
software after any modifications indicates your acceptance of the new Terms.
